Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Cost Lenz, the construction cost-tracking service operated by 3CLenz-2026 LLC (“Cost Lenz,” “we,” “us,” or “our”), including the website at costlenz.com, the application at app.costlenz.com, and related iOS and Android applications and services (collectively, the “Service”). By creating an account, accepting an invite, starting a subscription or trial, or using the Service, you agree to these Terms and our Privacy Policy.

1. The Service

Cost Lenz is a construction cost-tracking workspace for professional use. Features may include project budgets and cost codes, contracts and change orders, invoices, closeout tracking, imports and exports, organization membership, charts and summaries, and related tools. Features may change over time.

2. Eligibility and accounts

• You must be able to form a binding contract and use the Service for lawful business purposes.
• You are responsible for the accuracy of account information and for keeping login credentials secure.
• You are responsible for activity under your account, except where caused by our failure to secure the Service.
• Organization admins are responsible for managing invites, roles, member access, and billing within their workspace.

3. Organizations and invitations

If you create or administer an organization, you represent that you have authority to do so and to invite others. Invited users should use the invited email address to accept membership. You must only invite people you are authorized to invite. Seat limits on your plan apply to active members of the organization.

4. Your content

“Customer Content” means project data, files, notes, budgets, invoices, contracts, templates, attachments, and other materials you or your organization upload or enter into the Service.

• You retain ownership of Customer Content.
• You grant Cost Lenz a limited license to host, process, transmit, display, and back up Customer Content solely to provide and improve the Service (including optional AI-assisted features you choose to use).
• You represent that you have all rights needed to submit Customer Content and that doing so does not violate law or third-party rights.

5. Acceptable use

You agree not to:

• Use the Service for unlawful, infringing, or fraudulent purposes
• Attempt to access another organization’s data without authorization
• Probe, scan, or attack the Service, or bypass security, billing, or access controls
• Upload malware or harmful code
• Abuse AI features, email delivery, storage, or invite systems (spam, scraping, etc.)
• Reverse engineer the Service except to the extent such restriction is prohibited by law
• Misrepresent your identity or affiliation

6. AI-assisted features

Optional AI features may send selected Customer Content (such as uploaded budgets, invoice or contract documents, or templates) to third-party AI providers to generate outputs. AI outputs may be inaccurate or incomplete. You remain responsible for reviewing outputs before relying on them for financial, contractual, or construction decisions. AI usage may be rate-limited based on your organization’s plan.

7. Subscriptions, trials, and fees

Cost Lenz is offered on a paid subscription basis for organizations. Pricing, included seats, and plan details are shown in the Service and on our pricing page. Unless we state otherwise for a specific offer:

• New paid subscriptions generally include a free trial period (currently seven days) before recurring charges begin.
• Plans are billed monthly based on seat packs (for example 5, 10, 15, 20, or 25 users). Current list pricing starts at USD $19.99 per month for five users, with higher seat packs priced as shown at checkout or on our pricing page.
• Subscriptions are organization-level. Organization admins manage billing. Payment is processed by Stripe through the web application (including when you open billing from a mobile app). Cost Lenz does not currently sell subscriptions as Apple or Google in-app purchases.
• Taxes may apply where required. You authorize us and our payment processor to charge the payment method on file for applicable fees.
• You may change plans or cancel through the billing portal or settings available to admins. Cancellation generally takes effect at the end of the then-current billing period unless otherwise stated at cancellation.
• Except where required by law or expressly stated in writing, fees are non-refundable once charged, including for unused seats or unused trial time after conversion to paid.

We may change pricing or plan structures prospectively. Material changes will be communicated through the Service, email, or our website, and will apply on renewal or as otherwise stated.

8. Third-party services

The Service depends on third-party providers (for example hosting, authentication/database, file storage, payment processing, email delivery, and AI processing). Their availability and terms may affect the Service. We are not responsible for third-party services outside our reasonable control. Stripe’s terms also apply to payment processing.

9. Intellectual property

Cost Lenz, including software, branding, and documentation (excluding Customer Content), is owned by us or our licensors. These Terms do not grant you any right to use Cost Lenz marks except as needed to identify your authorized use of the Service.

10. Confidentiality

We will treat Customer Content as confidential and use it only as needed to provide the Service, except for information that is public, independently developed, or rightfully received from others without confidentiality duty. You agree to keep non-public Service credentials and access details confidential.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUTS (INCLUDING AI OUTPUTS, IMPORTS, OR EXPORTS) WILL MEET YOUR REQUIREMENTS OR BE SUITABLE FOR LENDER, LEGAL, OR AUDIT PURPOSES without independent verification. Cost Lenz is a productivity tool and is not a substitute for professional accounting, legal, or construction advice.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 3CLENZ-2026 LLC AND ITS OPERATORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, WHETHER BASED IN CONTRACT, TORT, OR OTHERWISE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $100 if you have not paid fees.

13. Indemnification

You will defend and indemnify 3CLenz-2026 LLC against claims arising from your Customer Content, your misuse of the Service, your violation of these Terms, or your violation of law or third-party rights, except to the extent caused by our willful misconduct.

14. Suspension and termination

You may stop using the Service at any time and cancel a paid subscription as described in the billing section. We may suspend or terminate access if you violate these Terms, if payment fails or a required subscription lapses, if needed for security or legal reasons, or if the Service is discontinued. Upon termination, your right to use the Service ends. Provisions that by nature should survive (including ownership, fees owed, disclaimers, limitations, and indemnity) will survive.

15. Governing law

These Terms are governed by the laws of the State of Texas, USA, excluding conflict-of-law rules, unless mandatory local law requires otherwise. Courts located in Texas will have exclusive jurisdiction, except where prohibited.

16. Changes

We may update these Terms by posting a revised version on this page and updating the “Last updated” date. Continued use after changes become effective constitutes acceptance. If changes are material and you have an account, we may also provide additional notice where practical.
